D2L Studios

1. The client is deemed to have read and accepted the Terms of Service upon receipt of deposit.

2. Estimates are valid for 30 days and are good only for the information provided by the client at the time of the quote. Any changes in requested work may result in an increase or decrease in price. D2L Studios™, LLC will inform the client as the prices changes.

3. Excluding the initial quote, no work will be done by D2L Studios™, LLC until a contract and non-refundable deposit is paid.

4. A non-refundable fee of 50% is required upon signing the client contract, the remaining balance is due upon agreement of final design and prior to delivery of final project (launch of website, etc.).

5. D2L Studios™, LLC will not be responsible for any damage, loss or liability the account holder or any third party may suffer. This includes loss of revenue, profits or data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by D2L Studios™, LLC and its employees or otherwise.

6. D2L Studios™, LLC is not responsible for delay in delivery due to illness or injuries, or other events beyond their control (i.e. fire, theft, computer failure, Acts of God).

7. D2L Studios™, LLC is not open on weekends or major holidays. If work is needed or requested during these times, you will be charged the overtime hourly rate of $95 per hour.

8. D2L Studios™, LLC guarantees that each website will work with current technology. If websites needs updating because of changed in technology, the hourly rate applies.

9. D2L Studios™, LLC retains the rights of the design until final payment is received and retains the right to use the design in portfolios and for self-promotion. In the event of termination of service, D2L Studios™, LLC retains the rights to all designs. Designs that are not satisfactory and remain unpaid cannot be used in whole or in part by the client.

10. D2L Studios™, LLC is not responsible for any damage, loss or liability the client may suffer.

11. D2L Studios™, LLC is not responsible for archiving design files after delivery to the client. While every reasonable effort will be made to permanently store, safeguard and archive the final design, D2L Studios™, LLC agrees to archive the final design only until delivery to the client on disc. The client is thereafter responsible for the storage, safeguarding and archiving of their final design.

12. It is the responsibility of the client to copyright the design (http://www.copyright.gov) after final payment.

13.Payments are due within 30 days of invoice. Payments are considered late and will occur late charges at the discretion of D2L Studios™, LLC. If monthly or one-time payments are more than 15 days past the due date, the website will be removed from the server.

14. D2L Studios™, LLC has the right to refuse services for any reason.

15. D2L Studios™, LLC reserves the right to to revise or remove any part of the Terms of Service at any time and without prior notice to the client.
